Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you ("you" or "User") and Listify ("Listify", "we", "us", or "our") governing your access to and use of our websites, applications, APIs, and related services (collectively, the "Service"). By creating an account, clicking "I agree", or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. By using the Service, you represent and warrant that you meet these requirements and that your use complies with all applicable laws.

2. Accounts and security

You are responsible for all activity that occurs under your account and for keeping your credentials secure. You agree to provide accurate information and to notify us immediately of any unauthorized use. We may suspend or terminate accounts at our sole discretion, with or without notice, including for suspected violations of these Terms.

3. The Service; AI-generated content

The Service uses third-party artificial intelligence models to generate text based on inputs you provide. AI outputs are produced by probabilistic systems, may be inaccurate, biased, offensive, infringing, non-original, or unsuitable for your intended use, and may reproduce or resemble content generated for other users. You are solely responsible for reviewing, editing, fact-checking, and approving any output before publishing or relying on it. You must independently verify all claims, measurements, ingredient lists, compliance statements, intellectual property rights, and trademark availability.

No professional advice. The Service does not provide legal, tax, financial, medical, or other professional advice. Do not rely on outputs as a substitute for advice from a qualified professional.

4. Your content; license to us

"User Content" means any text, prompts, data, or other materials you submit to the Service. You retain ownership of your User Content. You grant Listify a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, transmit, process, display, and create derivative works from your User Content solely to operate, secure, maintain, and improve the Service, and to enforce these Terms. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe any third-party right or violate any law.

5. Ownership of outputs

Subject to your compliance with these Terms and to the inherent limitations of AI-generated content, as between you and Listify, you own the outputs returned to you in response to your inputs. You acknowledge that (a) the same or similar outputs may be generated for other users; (b) Listify makes no representation that any output is original, non-infringing, or eligible for copyright or other intellectual property protection; and (c) certain jurisdictions may not recognize ownership in AI-generated material. Use of outputs is at your own risk.

6. Acceptable use

You agree not to, and not to permit any third party to:

  • use the Service in violation of any law, regulation, sanction, or third-party right;
  • submit content that is unlawful, defamatory, harassing, abusive, hateful, threatening, sexually explicit involving minors, or that infringes intellectual property, privacy, or publicity rights;
  • generate content for spam, phishing, fraud, deceptive advertising, regulated-product claims you cannot substantiate, counterfeit goods, or impersonation;
  • upload personal data of others without lawful basis, or sensitive personal data (health, financial account, government identifiers, biometric, children's data);
  • reverse engineer, decompile, scrape, or attempt to discover the source code, models, prompts, or training data of the Service;
  • use the Service to train, develop, or improve any competing product, machine-learning model, or large language model;
  • resell, sublicense, or provide the Service as a hosted offering without our prior written consent;
  • interfere with, disrupt, overload, or probe the Service or its infrastructure, or circumvent rate limits or security controls;
  • use automated means to access the Service except via interfaces we explicitly authorize.

We may investigate and respond to suspected violations and cooperate with law enforcement.

7. Third-party platforms

Listify is independent and is not affiliated with, endorsed by, or sponsored by Etsy, Inc., Shopify Inc., or any other ecommerce platform. You are solely responsible for ensuring that any content you publish on those platforms complies with their policies, applicable advertising laws, consumer-protection rules, and intellectual-property requirements.

8. Fees, free access, and changes

The Service is currently offered free of charge to early adopters. We may, at any time and in our sole discretion, introduce, modify, or remove paid plans, usage limits, features, or free-tier access, with or without notice. If you purchase a paid plan in the future, additional terms presented at checkout (including billing cycle, taxes, and refund rules) will apply and are incorporated by reference. Except as required by law, fees are non-refundable.

9. Beta and experimental features

Features identified as beta, preview, experimental, or early-access are provided "as is", may be modified or discontinued at any time, and may have additional terms. They are not subject to any service-level commitment.

10. Intellectual property

The Service, including all software, text, graphics, logos, designs, model prompts, documentation, and other materials (excluding User Content), is owned by Listify or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service in accordance with these Terms. All rights not expressly granted are reserved.

11. Feedback

If you submit feedback, ideas, or suggestions, you grant Listify a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable license to use them for any purpose without obligation or compensation to you.

12. DMCA / copyright

We respect intellectual-property rights. If you believe content on the Service infringes your copyright, send a notice with the information required by 17 U.S.C. § 512(c) to dmca@listify.world. We may remove allegedly infringing content and terminate repeat infringers.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without cause, with or without notice, including for actual or suspected violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive (including Sections 4, 5, 10–18) will survive.

14. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, LISTIFY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, ORIGINALITY, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, NON-INFRINGING, OR SUITABLE FOR YOUR PURPOSES.

15. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL LISTIFY OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LISTIFY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO LISTIFY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, STATUTE, OR OTHERWISE) AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages; in those jurisdictions, the above limitations apply to the fullest extent permitted by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Listify and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of outputs, including any publication, distribution, or reliance on them; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party right, including intellectual-property, privacy, or publicity rights.

17. Governing law; dispute resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Except for actions to protect intellectual-property rights or to seek injunctive relief, any dispute arising out of or relating to the Service or these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there.

Binding arbitration; class-action waiver (where enforceable). Where permitted by applicable law, you and Listify agree that any dispute will be resolved by binding individual arbitration administered by a recognized arbitration provider, and not in a class, collective, or representative proceeding. You and Listify waive any right to a jury trial and to participate in a class action to the maximum extent permitted by law. If this clause is unenforceable in your jurisdiction, the courts identified above will have exclusive jurisdiction.

18. Changes to the Terms

We may modify these Terms at any time. If we make material changes, we will provide notice (for example, by posting the updated Terms with a new effective date or by email). Your continued use of the Service after the changes become effective constitutes acceptance. If you do not agree, you must stop using the Service.

19. Miscellaneous

These Terms, together with the Privacy Policy and any plan-specific terms, are the entire agreement between you and Listify regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them without restriction. Notices to you may be provided through the Service or by email.
